Goldblum and Partners AG acted as lead legal counsel to Coinbridge AG, a Swiss cryptocurrency payment service provider, in connection with its regulatory authorisation as a financial intermediary in Switzerland and the establishment of a strategic technology and liquidity partnership with Binance, the world's largest digital asset exchange.
The Client
Coinbridge AG is a Swiss fintech company that enables e-commerce merchants to accept cryptocurrency payments and receive settlement in Swiss francs (CHF). The Coinbridge solution integrates directly into existing online store checkout flows — alongside established payment methods such as TWINT, PayPal, Stripe, and Klarna — and handles the full payment cycle from crypto acceptance through real-time conversion to fiat settlement. Merchants are not required to manage wallets, handle private keys, or bear exchange rate volatility. The platform supports integration with Magento, WooCommerce/WordPress, and custom e-commerce platforms via API.
Scope of the Mandate
Goldblum and Partners provided comprehensive legal and regulatory advisory across all phases of the project — from initial corporate structuring and regulatory strategy through to SRO admission and commercial partnership documentation. The engagement partner was Marcus Altenburg, Managing Partner.
Regulatory Advisory and VQF Membership
Goldblum and Partners conducted a detailed regulatory assessment of Coinbridge's business model under the Swiss Anti-Money Laundering Act (AMLA) and applicable FINMA guidance. The firm advised on the qualification of Coinbridge's crypto-to-fiat payment processing activities as a financial intermediary activity and structured the company's corporate and operational framework to meet the admission requirements of the Verein zur Qualitätssicherung von Finanzdienstleistungen (VQF), a FINMA-recognised Self-Regulatory Organisation (SRO).
The firm's scope of work in connection with the regulatory workstream included:
Corporate structuring and formation of Coinbridge AG in compliance with Swiss corporate law and SRO substance requirements, including the appointment of Swiss-resident directors and designation of the registered office
Preparation and submission of the complete VQF membership application with all required annexes and supporting documentation
Drafting of a comprehensive AML/CFT and KYC compliance framework tailored to Coinbridge's crypto payment processing model, including customer and merchant due diligence procedures, risk-based transaction monitoring protocols, enhanced due diligence measures for higher-risk relationships, and suspicious activity reporting procedures
Development of internal directives, organisational regulations, and compliance manuals aligned with VQF regulatory standards and Swiss AML best practice
Structuring and appointment of the AML Officer function in accordance with Swiss regulatory requirements
Preparation of the detailed business plan and operational documentation required under VQF admission standards
Ongoing liaison with VQF throughout the application review phase, including preparation of responses to all supplementary regulatory inquiries and clarification requests
Coinbridge AG successfully obtained VQF membership and is authorised to operate as a regulated financial intermediary under Swiss law.
Binance Partnership — Negotiation and Documentation
As a key component of its payment and liquidity infrastructure, Coinbridge entered into a strategic technology and commercial partnership with Binance, integrating Binance's merchant payment and liquidity solutions to enable seamless cryptocurrency acceptance and real-time conversion for Coinbridge's e-commerce merchant clients.
Goldblum and Partners acted as Coinbridge's sole legal counsel throughout the structuring, negotiation, and documentation of the Binance partnership. The firm's work included:
Structuring and negotiation of the commercial cooperation and technology integration agreement with Binance
Review and negotiation of API integration terms, service level commitments, liquidity and settlement arrangements, and data processing provisions
Advisory on cross-border regulatory implications and compliance alignment between the Swiss regulatory framework and Binance's global operational and compliance standards
Coordination of all contractual documentation through to execution
